3. Board of Directors – Responsibilities

-Executives-

Geir Kjaernes
Chief Executive, age 53

Mr Kjaernes is responsible for all aspects of the Group’s business and corporate strategy. He is also responsible for formulating and developing the marketing programme. He acts as an important link between the Norwegian operating companies and Nordic Panorama Plc.

Norman Lott
Finance Director, age 53

Mr Lott is responsible for the overall control and management of the finance function of the Group.

Petter Johnsen
Operations Director, age 53

Mr Johnsen is responsible for the operations of the two Norwegian operating companies in Norway and acts as Chief Operating Officer in this regard. He is also actively involved in the sales of cabins and plots.

Kjetil Johnsen
Executive Director, age 32

Mr Johnsen is involved in the technical running of the ski resort and is responsible for the ski slopes,ski lift operations ski lift operations and snow production at the resort.

The audit committee is responsible for ensuring that the overall financial management of the Group’s business is conducted in a manner appropriate to a publicly-owned company. It meets with the Company’s auditors to review the Group’s financial procedures and the publication of its financial statements.

Remuneration Committee

Per Christian Voss, Chairman of the Committee

The remuneration Committee is responsible for recommending the remuneration packages for each of the Executive Directors. No Director is involved in discussions on his own remuneration.

Nordic Panorama Plc was incorporated in England and Wales (registration number (148798), with its registered office at 89 Fleet Street, London, EC4Y 1DH .

Nordic Panorama Plc’s main operating activities are carried out in Norway by its operating subsidiaries Vradal Panorama AS

6. Securities in issue

As at 3 April 2009 the Company has 822,162,575 Ordinary Shares in issue. The Company has no treasury shares.
